These Terms & Conditions (the “Terms”) govern your access to and use of https://gatherstar.io/, related pages, products, platforms, documentation, and services that link to these Terms (collectively, the “Services”). The Services are operated by GatherStar MarTech Limited (“GatherStar,” “we,” “us,” or “our”), a company located in Hong Kong.
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use the Services.
Corporate Transition Notice
GatherStar MarTech Limited became the operator of the GatherStar brand and the associated product and research-and-development functions in July 2026. Before that transition, all prior business operations, partner contracts, and financial matters of Senior Technology Limited had been settled and concluded by April 2026.
Only the GatherStar brand and specified product and research-and-development assets were transferred to GatherStar MarTech Limited in July 2026. GatherStar MarTech Limited and Senior Technology Limited are independent entities and have no current corporate, ownership, management, contractual, or financial affiliation. GatherStar MarTech Limited did not acquire or assume Senior Technology Limited’s legacy business, contracts, accounts, receivables, payables, debts, liabilities, obligations, or financial matters. Nothing in these Terms creates any succession, agency, partnership, joint venture, or guarantee between the two entities.
These Terms apply only to Services offered by GatherStar MarTech Limited on or after the effective date above. Any matter arising solely from a contract, transaction, or business relationship with Senior Technology Limited remains separate from GatherStar MarTech Limited.
1. Eligibility and Acceptance
You must be at least 18 years old and legally capable of entering into a binding agreement. You must comply with all laws and regulations that apply to you, your business, your advertising, your content, and your use of the Services.
2. Services and Separate Agreements
GatherStar provides advertising-technology and related services for advertisers, publishers, and business partners. Certain products or commercial relationships may be governed by an order form, insertion order, platform agreement, publisher agreement, data-processing agreement, or other written contract with GatherStar MarTech Limited. If a conflict exists, that separate written agreement controls for the subject it covers.
Descriptions, availability, and features of the Services may change. We may modify, suspend, or discontinue any part of the Services where reasonably necessary for security, legal, operational, or commercial reasons.
3. Accounts and Security
- You must provide accurate, current, and complete information and keep it updated.
- You are responsible for protecting account credentials and for activity conducted through your account.
- You must promptly notify us at support@gatherstar.io if you suspect unauthorized access, misuse, or a security incident.
- You may not share, sell, transfer, or provide unauthorized access to an account.
4. Acceptable Use
You may use the Services only for lawful business purposes. You must not:
- violate applicable law, regulation, sanctions, export controls, privacy rights, intellectual-property rights, or contractual rights;
- submit, distribute, or promote content that is unlawful, fraudulent, deceptive, defamatory, discriminatory, exploitative, harmful, or otherwise prohibited by our policies;
- introduce malware, interfere with system integrity, bypass security controls, probe vulnerabilities without authorization, or gain unauthorized access;
- generate invalid traffic, impressions, clicks, installs, conversions, or other artificial engagement;
- misrepresent identity, inventory, traffic source, destination, offer, pricing, or performance;
- scrape, copy, reverse engineer, resell, or exploit the Services except as expressly authorized in writing; or
- use the Services in a way that harms GatherStar, users, partners, or third parties.
5. Advertiser and Publisher Responsibilities
Advertisers are responsible for their campaigns, creatives, claims, landing pages, offers, targeting instructions, permissions, and compliance. Publishers are responsible for their properties, inventory, traffic sources, disclosures, consents, and compliance. Each party must obtain all notices, permissions, and consents required for its collection, use, and sharing of data and must not provide GatherStar with data it is not authorized to provide.
6. Fees, Taxes, and Payment
Fees, payment terms, reporting methodology, taxes, refunds, credits, and reconciliation are governed by the applicable commercial agreement or order. You are responsible for applicable taxes other than taxes imposed on GatherStar’s net income. We may withhold or offset amounts where permitted by an applicable agreement or law.
7. Intellectual Property
The Services, including software, interfaces, text, graphics, logos, documentation, and other materials, are owned by or licensed to GatherStar MarTech Limited and are protected by intellectual-property laws. Subject to these Terms and any applicable written agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended business purpose.
You retain ownership of content you lawfully submit. You grant GatherStar the rights reasonably necessary to host, process, transmit, display, and use that content to provide, secure, support, and improve the Services and to meet legal obligations. Feedback may be used without restriction or compensation.
8. Privacy and Data Protection
Our Privacy Policy explains how GatherStar MarTech Limited handles personal data. Each party remains responsible for its own compliance with applicable privacy, electronic-communications, and advertising laws.
9. Third-Party Services and Links
The Services may link to or interoperate with third-party services. GatherStar does not control and is not responsible for third-party content, availability, security, terms, or privacy practices. Your use of a third-party service is governed by its own terms.
10. Confidentiality
If you receive non-public information from GatherStar that a reasonable person would understand to be confidential, you must protect it using reasonable care, use it only for the permitted relationship, and disclose it only to personnel and advisers who need to know and are bound by confidentiality obligations. This does not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received without restriction.
11. Suspension and Termination
We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay amounts due, or if suspension is reasonably required to protect the Services or third parties. You may stop using the Services at any time, subject to obligations in any separate agreement. Provisions that by their nature should survive termination will survive.
12. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” GatherStar disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Services will be uninterrupted, error-free, secure, or achieve particular commercial results. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
13. Limitation of Liability
To the fullest extent permitted by law, GatherStar MarTech Limited and its directors, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business, goodwill, data, or anticipated savings, arising out of or related to the Services, even if advised of the possibility.
Unless a separate written agreement states otherwise, GatherStar’s aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to GatherStar MarTech Limited for the affected Services during the three months before the event giving rise to liability or (b) HKD 1,000. These limits do not apply where liability cannot be limited by law.
14. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless GatherStar MarTech Limited and its directors, officers, employees, and contractors from claims, losses, liabilities, damages, costs, and reasonable legal fees arising from your content, campaigns, properties, traffic, breach of these Terms, violation of law, or infringement of third-party rights.
15. Changes to These Terms
We may update these Terms. We will post the revised version and update the “Last Updated” date. Material changes will apply prospectively, and we will provide additional notice where required by law. Continued use after the revised Terms take effect constitutes acceptance.
16. Governing Law and Disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles. Subject to any mandatory law or dispute procedure in an applicable written agreement, the courts of Hong Kong have exclusive jurisdiction over disputes arising from these Terms or the Services.
17. General
These Terms and any applicable written agreement constitute the agreement between you and GatherStar for the relevant subject matter. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization, financing, or transfer of the relevant business or assets. No third party has a right to enforce these Terms unless expressly stated.
